Ray S. Evans is of counsel to the Firm and has focused his practice for over 50 years on mergers and acquisitions and capital formation for a wide range of public and private companies. In that capacity he has helped numerous companies raise equity capital and debt financing and served as advisor to clients seeking and negotiating strategic business combinations, including reverse mergers and special purpose acquisition companies (SPACs). Mr. Evans’ accounting, legal and tax background, relationships with Wall Street and executive management experience have been particularly meaningful in these efforts. His legal services have included preparation of a variety of registration statements and reports filed with the Securities and Exchange Commission, private placement memoranda, loan documents and business plans. He has worked in the area of executive compensation and exit strategies using ESOP’s and appropriately drafted shareholders agreements.
Mr. Evans has lectured before the Nassau County Bar Association and to important customers of commercial banks. He has also served on the boards of directors of many public and private companies. Prior to joining the firm, Mr. Evans was a partner in the law firms of Javits & Javits and Ruskin Moscou Evans & Faltischek P.C. He was President and director of General Training Services (OTC) and several private companies in which he participated in management. Prior to practicing law, Mr. Evans worked in public accounting where he performed audits of public and private companies.
Mr. Evans is a graduate of Baruch College of The College of the City of New York where he studied accounting and business, and New York Law School where he was an editor of the Law Review. Mr. Evans also attended New York University Graduate Law School where he studied federal taxation.
